Terms of Service

Welcome to Patchy. These Terms of Service (“Terms”) are a legal agreement between you (“you,” “your,” or “User”) and Patchy LLC (“Patchy,” “we,” “us,” or “our”), the operator of the web application available at usepatchy.io (the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

In plain English: By signing up or using Patchy, you're agreeing to these terms. If you don't agree, please don't use the app.

1. Eligibility and Account Registration

You must be at least 18 years old to use the Service. If you are using the Service on behalf of an organization (such as a church, production company, or other entity), you represent and warrant that you have the authority to bind that organization to these Terms.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@usepatchy.io of any unauthorized use of your account.

Accounts are intended for individual use. Do not share your login credentials with others. If your team needs access, contact us about team or organization plans.

In plain English: You need to be 18+ and you're responsible for what happens on your account. Don't share your password.

2. Description of the Service

Patchy is a web-based software-as-a-service application designed to help live audio engineers, production directors, and related professionals create, manage, and share patch sheets and audio system documentation.

The Service is provided on an “as-is” and “as-available” basis. We make reasonable efforts to maintain uptime and performance but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time, with or without notice, although we will provide reasonable advance notice of material changes when practical.

In plain English: Patchy helps you build and share patch sheets. We work hard to keep it running, but we can't promise it'll be available 100% of the time.

3. Beta Program and Founding Member Pricing

Patchy may offer beta access, founding member pricing, or other promotional access tiers from time to time. The terms of any such program will be communicated to participants at the time of enrollment.

Founding member pricing, where offered, is a permanently discounted subscription rate that remains in effect for as long as the user maintains an active, continuous subscription. If a founding member subscription lapses, expires, or is cancelled, the founding member rate is forfeited and the user must subscribe at then-current standard rates if they wish to return to the Service.

Beta features may be unstable, change without notice, or be removed entirely. Beta participants agree that the Service may contain bugs and that they will provide reasonable feedback when requested.

In plain English: Founding members get a permanently locked-in discount as long as you stay subscribed. If you cancel, that rate goes away. Beta features may break or change.

4. Subscription, Billing, and Payment

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). By providing payment information, you authorize us (or our payment processor) to charge your payment method automatically at the start of each billing period.

All subscriptions automatically renew at the end of each billing period unless cancelled by you prior to the renewal date. You may cancel at any time through your account settings or by contacting hello@usepatchy.io. Cancellation takes effect at the end of the then-current billing period; you will retain access to paid features until that date.

Except as required by law, all payments are non-refundable. We do not offer prorated refunds for partial billing periods, unused time, or downgrades.

We reserve the right to change subscription pricing. For existing subscribers, we will provide reasonable advance notice of any price increase, by email to the address associated with your account or through an in-app notice. Price changes will take effect at your next renewal following the notice period. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Failed payments may result in suspension or termination of your account. You are responsible for ensuring your payment method remains valid.

In plain English: Subscriptions auto-renew. You can cancel anytime, but we don't issue refunds for partial periods. We'll give you reasonable advance notice before raising prices.

5. Free Trials

If we offer a free trial, you will be required to provide payment information at the time of signup unless otherwise stated. At the end of the trial period, your subscription will automatically convert to a paid subscription at the then-current rate unless you cancel before the trial ends.

6. Your Data and Content

You retain all ownership rights in the content you create, upload, or store using the Service, including patch sheets, console configurations, device lists, stage layouts, and other audio production data (collectively, “User Content”).

By using the Service, you grant Patchy a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and transmit your User Content solely as necessary to provide the Service to you (including, where applicable, displaying shared patch sheets to people you have given access to). This license terminates when you delete the User Content or close your account, except as required by law or for backup retention as described below.

We will not sell your User Content. We will not use your User Content to train artificial intelligence or machine learning models without your explicit, separate consent. We will not access your User Content except as reasonably necessary to operate, maintain, troubleshoot, or improve the Service, to comply with legal obligations, or with your permission.

6.1 Essential Data Collection

To operate the Service, we collect certain data that is essential to providing it to you. This includes:

  • Account information you provide (email address, name, organization);
  • Authentication and security records;
  • User Content you create or save (your patch sheets and related documentation);
  • Anonymous error and crash reports with no personally identifying information attached;
  • Aggregated usage statistics that do not identify individual users.

This essential data collection is necessary to provide the Service. You cannot opt out of essential data collection while using the Service, but you may delete your account at any time, which removes your data as described in Section 14 and the Privacy Policy.

6.2 Optional Analytics

We also offer optional analytics that help us understand how the Service is used and identify problems. These include:

  • Product usage analytics tied to your account (which features you use, when, and how often);
  • User-identified error reports (so we can follow up with you specifically if you encounter a bug).

You decide whether to enable optional analytics when you first sign up. You can change your decision at any time in Settings → Privacy. Disabling optional analytics does not affect your access to any feature of the Service.

In plain English: Your patch sheets and configurations belong to you. We only use them to make the app work for you. We won't sell your data or train AI on it. Some data collection is necessary to run the app; some is optional and you control it.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law;
  • Build a product or service that competes with Patchy using data, designs, or insights gained from the Service;
  • Resell, sublicense, or otherwise commercialize access to the Service without our written permission;
  • Upload viruses, malware, or any code intended to damage, interfere with, or gain unauthorized access to the Service or other users’ data;
  • Attempt to gain unauthorized access to other users’ accounts, data, or shared patch sheets;
  • Use the Service to transmit spam, phishing attempts, or unsolicited communications;
  • Abuse, exploit, or circumvent shared link functionality (for example, scraping shared patch sheets at scale);
  • Use the Service in any way that could disable, overburden, or impair its operation.

We reserve the right to investigate suspected violations and to suspend or terminate accounts engaged in prohibited conduct.

In plain English: Don't try to break, copy, or abuse the app. Don't use it to build a competitor. Don't mess with other people's accounts.

8. Intellectual Property

The Service, including its software, design, user interface, branding, logos, trademarks, and underlying technology, is owned by Patchy and is protected by copyright, trademark, and other intellectual property laws. Except for the limited rights granted to you in these Terms, no rights or licenses to the Service or any of its components are granted to you, whether by implication or otherwise.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use during the term of your subscription.

Any feedback, suggestions, or ideas you provide to us about the Service may be used by Patchy without obligation or compensation to you.

9. Privacy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the practices described in the Privacy Policy.

Where these Terms reference optional analytics or other choices about data collection, your preferences are managed in Settings → Privacy and may be changed at any time.

10. Third-Party Services

To operate the Service, we use the following third-party service providers as data processors. Each is contractually limited to processing your data on our behalf and may not use it for their own purposes:

  • Vercel Inc. — application hosting and infrastructure;
  • Functional Software, Inc. (“Sentry”) — error and performance monitoring;
  • PostHog Inc. — product analytics (only if you have opted in under Section 6.2);
  • Stripe, Inc. — payment processing (when paid subscriptions are enabled);
  • Google LLC (“Google Workspace”) — email infrastructure and authentication;
  • EmailOctopus Ltd. — marketing email delivery (only to subscribers who have opted in).

We may add, remove, or change service providers from time to time. Material changes to our list of data processors will be communicated as described in Section 15 and reflected in our Privacy Policy.

We are not responsible for the availability, accuracy, or practices of third-party services beyond their contractual obligations to us as our processors. Your use of any third-party service outside the Service itself may be subject to that provider's separate terms and privacy policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. PATCHY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE ACCURATE OR RELIABLE.

You acknowledge that live audio production environments are mission-critical and that you should not rely solely on the Service for show-day operations without independent verification and backup documentation. Patchy is a tool to assist with documentation and is not a substitute for professional judgment.

In plain English: Patchy is a tool, not a guarantee. Don't rely on it as your only source of truth on show day. Always have a backup.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PATCHY, ITS OWNERS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR FAILED PRODUCTIONS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF PATCHY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PATCHY'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PATCHY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. In such cases, our liability will be limited to the maximum extent permitted by law.

In plain English: If something goes wrong, the most we can owe you is what you paid us in the last year (or $100, whichever is more). We're not responsible for lost profits or failed shows.

13. Indemnification

You agree to defend, indemnify, and hold harmless Patchy and its owners, officers, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your User Content.

14. Termination

You may terminate your account at any time by cancelling through your account settings or by contacting hello@usepatchy.io. Termination by you takes effect at the end of your current billing period; you will retain access to paid features until that date.

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, if your account has been inactive for an extended period, if required by law, or if we discontinue the Service. We will use reasonable efforts to provide notice when practical.

Upon termination, your right to access and use the Service ends immediately. We will retain your User Content for thirty (30) days following termination to allow you to request an export, after which we may permanently delete it. Backups may be retained for a longer period in the ordinary course of business but will not be accessible to you. Any provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

In plain English: You can cancel anytime. After cancellation, you have 30 days to export your data before it's deleted.

15. Changes to These Terms

As Patchy evolves, we may update these Terms from time to time. If we make a material change to these Terms, we will provide reasonable notice prior to the change taking effect, either by email to the address associated with your account or through an in-app notice. What constitutes a material change and what constitutes reasonable notice will be determined in our reasonable judgment based on the nature of the change.

For non-material changes — such as typo corrections, clarifications, formatting updates, addition of optional features, or changes that do not meaningfully affect your rights or obligations — we will update the “Last Modified” date at the top of these Terms without separate notice.

For changes required by law, regulation, court order, or to address security issues, we may make changes effective immediately and will notify you as soon as practical.

You can review the most current version of these Terms at any time by visiting this page. Any material revisions will become effective on the date set forth in our notice, and all other changes will become effective on the date we publish them. If you continue to use the Service after the effective date of any change, that use will constitute your acceptance of the revised Terms.

In plain English: For meaningful changes, we'll give you reasonable notice. Small stuff (typo fixes, clarifications) just gets a date update. If the law or a security issue forces our hand, changes may take effect right away. Using Patchy after a change means you accept it.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.

Before filing a formal claim, you agree to first contact us at hello@usepatchy.io and attempt to resolve the dispute informally. We will make a good-faith effort to do the same.

Class Action Waiver: To the extent permitted by law, you and Patchy each agree that any dispute resolution proceedings will be conducted only on an individual basis, not as a class, consolidated, or representative action.

17. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any additional terms you agree to (such as plan-specific terms), constitute the entire agreement between you and Patchy regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, internet outages, infrastructure failures, or government actions.
